KIWANIS DIVISION 3 COUNCIL
FLORIDA DISTRICT, KIWANIS INTERNATIONAL

ARTICLE I -- NAME AND TERRITORIAL LIMITS

Section 1.  This council shall be known as:  Kiwanis Division 3 Council, Florida District, Kiwanis International.

Section 2.  The territorial limits of this council shall be those territorial limits of all clubs comprising Division 3, Florida District, Kiwanis International.

ARTICLE II -- OBJECT AND PURPOSES

Section 1.  The object of this council shall be to enable Kiwanis Clubs "To do bigger things better."

Section 2.  The purposes of this council shall be:

(a) To act as a clearinghouse for the exchange of ideas on club administration and functions.

(b) To coordinate united projects, such as Kiwanis conventions, maintenance of road signs, children's activities, civic movements and like matters applicable to Kiwanis work.

(c) To exchange information and help on club programs.

(d) To encourage cooperation of all clubs with Kiwanis District and International Offices.

(e) To clear dates for inter-club meetings and special events.

(f) To promote closer friendship and better understanding among clubs, club officers, directors, and members.

(g) To aid and strengthen each club.

(h) To instruct and teach club officers in club administration.

(i) To study, advise, improve, recommend and secure club projects.
 

ARTICLE III -- INTERNATIONAL AND DISTRICT OBLIGATIONS

Section 1.  This council shall do everything necessary, suitable or proper at any time or place for the accomplishment of any of the purposes and objectives herein set forth, and to take action on behalf of the member clubs.

Section 2.  This council, has no official standing in Kiwanis International, and will, therefore, have no direct connection, duty or obligation to or with Kiwanis International, or District organizations.  The council will, however, seek to further the aims, objects, and objectives of Kiwanis International through the council's members and representatives.
 

ARTICLE IV -- MEMBERSHIP AND REPRESENTATION

Section 1.  Membership in this council shall be entirely of the active class of Kiwanians.

Section 2.  Active members shall consist of four representatives of each Kiwanis club in Division 3, Florida District, Kiwanis International, each representative having one vote.  There shall be no voting by proxy.

Section 3.  Each member club shall be represented by its President, President-elect, Secretary, and Chair of its Committee on Interclub Relations; in case one or more of the designated representatives is or are unable to attend a meeting of the Council, the Club President shall name the alternate or alternates.
 

ARTICLE V -- ADMISSION TO MEMBERSHIP AND RESIGNATION

Section 1.  The representatives, as set forth in Article IV, Section 3, of each club in Division 3 shall automatically become members of this Division Council upon election to their respective offices by their clubs and upon payments to this council, for their club's annual contribution.

Section 2.  Any club may resign from this council, upon receipt of written request from its Board of Directors.
 

ARTICLE VI -- OFFICERS

Section 1.  The officers of this council shall be: Chair, Vice-Chair, Secretary and Treasurer.  The offices of Secretary and Treasurer may shall be held by the same person.

Section 2.  The Chair shall be the Lieutenant Governor of Division 3.  The Vice-Chair shall be the Lieutenant Governor-elect of Division 3.

Section 3.  The Chair shall appoint a member in good standing from one of the clubs in Division 3 to serve as Secretary/Treasurer.  This appointment is to be ratified at the October meeting of the Division.  The newly elected Secretary/Treasurer shall take office on October 1st.

Section 4. (a) In selecting a candidate for Lieutenant Governor-elect, the Lieutenant Governor shall poll the President of each Kiwanis club in Division 3 in alphabetical order, as follows, beginning with the club following the home club of the Lieutenant Governor-elect:

1.  Capital City
2.  Greensboro
3. Havana
4.  Lake Jackson
5.  Madison
6.  Monticello
7.   Perry
8.   Quincy
9.   Tallahassee
10.  Tallahassee -- Killearn
11.  Tallahassee -- Northside

When polled and a club presents a candidate, the election may be held in accordance with Article IX, Section 1, as amended.  It is the intent to fairly rotate the office of Lieutenant Governor to each interested club in Division 3.

 (b) In accordance with Article XII, Section 4, of the By-Laws for the Florida District, the office of Lieutenant Governor shall be filled by a Kiwanian with the following qualifications:

 1.  A Kiwanian for at least three years;

 2.  An active, privileged or senior member of a Kiwanis club in Division 3;

3.  A Kiwanian who will have served as a club president by the time he or she takes offices as Lieutenant Governor;

4.  Has consented to be a candidate for Lieutenant Governor-elect;

5.  Gives assurances to the Council that he or she will attend all required training and attend all Division 3 club meetings prior to his or her tenure of office as Lieutenant Governor, as prescribed by the Florida District, and that during his or her tenure of office as Lieutenant Governor, he or she will attend the International and District Conventions and Florida Trustee meetings and make the necessary club visits, and perform other duties as prescribed by the Florida District.

Section 4.  The Chair shall preside at all regular meetings of this council and the Vice Chair shall preside in the absence of the Chair.
 

ARTICLE VII -- GOVERNING BODY

Section 1.  A quorum shall consist of a majority of the total number of accredited representatives present who are eligible to hold membership in this council.
 

ARTICLE VIII -- COMMITTEES AND THEIR DUTIES

Section 1.  There may be the following standing committees in the council:

 Youth Services
 Young Children Priority One
 Community Services
 Kiwanis Administration
 Membership Growth and Education
 New Club Building

Section 2.  Each standing committee, if any, shall be appointed by the Lieutenant Governor.

Section 3.  Special committees may be appointed by the Chair and they shall perform such duties as may be defined at their creation.  It shall be the duty of each special committee to discharge the purpose for which they were formed as quickly as possible, and following the acceptance by the council of their final report, they shall stand dissolved.
 

ARTICLE IX -- MEETINGS

Section 1.  This Council shall hold a regular meeting on the second Monday of the first month of each quarter. A special meeting may be called by the Chair, or upon request in writing to the Secretary, by any three member clubs at any time.

Section 2.  Regular meetings shall convene at such time and place as designated by the Chair.  The time and place where any regular meeting is to be held shall be designated, if possible, before any regular meeting is adjourned and it shall be alternated between the various clubs in the division when applicable.
 

ARTICLE X -- OFFICIAL PUBLICATIONS AND PUBLIC ACTIVITIES

Section 1.  This council may have an official publication at the discretion of the Chair.

Section 2.  This council will take no direct action upon any public or individual club matter nor will it issue any direct statements to the public press of any action taken at any meeting.
 

ARTICLE XI -- REVENUE

Section 1.  The membership dues shall be based upon the size of each member club which amount may be changed at any regular or special meeting by majority vote of the accredited representatives present, after notice as provided in Article XIV has been given, and the membership contribution shall be on an annual basis in the amount of three dollars ($3.00) per member.  Such membership will be based on the club's total members as reported in the monthly report for the month of September.

Section 2.  Dues shall be payable on October 1st of each year.
 

ARTICLE XII -- FINANCE

Section 1.  The fiscal year of this council shall begin on October 1st and end on September 30th of each year.

Section 2.  The Council Treasury may be used to pay any legitimate expenditures for Division-wide purposes, as approved by the Council.  This may include, but not limited to, expenses for Division Conferences, Zone Conferences, District Governor visits, International officer visits, and new club establishment.

Section 3.  The Secretary shall render an annual report at the regular meeting in October of each year, including the receipts and disbursements for the year.

Section 4.  No audit of receipts or disbursements shall be required, nor shall the Secretary/Treasurer be required to post bond.
 

ARTICLE XIII -- RULES OF ORDER

Section 1.  "Robert's Rules of Order -- Revised" shall be the parliamentary authority for all matters of procedure not specifically covered by these by-laws.
 

ARTICLE XIV -- AMENDMENTS TO BY-LAWS

Section 1.  Amendments to these by-laws may be adopted by a two-thirds (2/3) vote of the accredited representatives present who are eligible to hold membership, provided that copies of such amendments shall have been given to the President and Secretary of each club at least thirty (30) days prior to the meeting at which the amendment is to be voted upon.
